Terms and Conditions for OS Pay Services

These Terms and Conditions (“T&C”) constitute a legal agreement between Ordrestyring ApS (“Supplier”, “we”, “our”) and the customer (“Customer”, “you”) using OS Pay to issue payment links to their end consumers. By using OS Pay, you agree to these terms.

1. Definitions

  1. "Supplier" refers to Ordrestyring ApS, a company registered in Denmark, fully owned by Aceve.
  2. "Customer" refers to the business entity using OS Pay to issue payment links to its end consumers.
  3. "Service" refers to the OS Pay platform that enables the issuance of payment links and facilitates payments via supported methods.
  4. "End Consumers" refers to your customers who use the payment links to make payments.

2. Service Description

  1. OS Pay provides a platform to generate payment links that facilitate payments from your end consumers.
  2. Supported payment methods include:
    • VISA
    • MasterCard
    • Google Pay
    • Apple Pay
    • MobilePay
  3. Payments are processed by Adyen, our third-party payment processor.

3. Customer Responsibilities

  1. Compliance: You agree to use OS Pay in compliance with applicable laws and regulations, including but not limited to data protection and financial regulations.
  2. Accuracy of Information: You are responsible for ensuring that all information provided to OS Pay, including payment link details, is accurate and lawful.
  3. Refunds and Disputes: You are solely responsible for handling refund requests, cancellations, and disputes with your end consumers. OS Pay is not responsible for resolving disputes between you and your consumers.
  4. End Consumer Terms: You must provide clear and transparent terms and conditions to your end consumers, including refund and cancellation policies.

4. Supplier Responsibilities

  1. Service Availability: We will make commercially reasonable efforts to ensure OS Pay is available and functioning. However, we do not guarantee uninterrupted service and are not liable for outages due to maintenance or third-party issues.
  2. Data Processing: We process payment data securely and share it with Adyen for payment processing purposes.

5. Fees and Payment

  1. Fees: You agree to pay any applicable fees for using OS Pay as per our pricing schedule. Fees are subject to change with prior notice.
  2. Payment Collection: Fees may be deducted directly from the payments processed through OS Pay or invoiced to you.
  3. Taxes: You are responsible for any applicable taxes arising from your use of the Service.

6. Refunds and Cancellations

  1. OS Pay does not provide refunds to you for fees paid to us.
  2. Any refunds or cancellations must be handled directly between you and your end consumers.

7. Privacy and Data Handling

  1. Customer Data: We collect and process your business information for account creation and Service delivery.
  2. End Consumer Data: We process payment information on your behalf to facilitate transactions. This data is shared with Adyen for payment processing purposes.
  3. Data Security: We implement appropriate measures to secure data but are not liable for data breaches caused by third-party providers or your misuse of the Service.

8. Limitations of Liability

  1. We are not liable for:
    • Errors caused by incorrect information provided by you.
    • Refunds or disputes with your end consumers.
    • Losses or damages caused by interruptions to the Service or third-party providers.
  2. Our total liability under this agreement is limited to the fees paid by you in the three (3) months prior to the claim.

9. Termination

  1. Termination by Customer: You may terminate your use of the Service at any time.
  2. Termination by Supplier: We may suspend or terminate your access to OS Pay if you breach these T&C or engage in unlawful activities.
  3. Effect of Termination: Upon termination, you will no longer have access to the Service, and any outstanding fees remain payable.

10. Governing Law and Dispute Resolution

  1. These T&C are governed by the laws of Denmark.
  2. Any disputes will be resolved through negotiation. If unresolved, disputes will be subject to the jurisdiction of Danish courts.
